Acceptance of Terms
By downloading, installing, accessing, or using WebCloudNest (the "Service", "App", or "Software"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the Terms, do not access or use the Service.
These Terms form a legally binding agreement between you and WebCloudNest ("we", "us", "our"). We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
Definitions
For the purposes of these Terms:
- "Account" means the registered profile a User creates to access certain features of the Service.
- "Content" means text, data, images, audio, video, code, or any other material accessed through or submitted to the Service.
- "Device" means any computer, mobile phone, tablet, or other hardware on which the Service is installed or accessed.
- "Subscription" means a paid plan that grants access to premium features of the Service.
Eligibility
You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into this agreement in your jurisdiction.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Account Registration & Security
Some features require you to create an Account. You agree to provide accurate, current, and complete information during registration and to update it as needed.
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your Account.
- Notifying us immediately at webcloudnest@gmail.com if you suspect unauthorized access.
We reserve the right to suspend or terminate Accounts that violate these Terms or that we reasonably believe have been compromised.
License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.
You may NOT:
- Copy, modify, reverse-engineer, decompile, or disassemble any part of the Service except to the extent permitted by applicable law.
- Resell, rent, lease, sublicense, or otherwise transfer the Service to a third party.
- Use the Service to build a competing product or to scrape data en masse.
- Remove or alter any proprietary notices or marks.
- Use any automated means (bots, scrapers, scripts) to access the Service unless expressly permitted by us in writing.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload, transmit, or distribute malware, viruses, or harmful code.
- Harass, threaten, defame, or harm any person or group.
- Send unsolicited communications, spam, or chain messages.
- Attempt unauthorized access to any system, account, or data.
- Interfere with or disrupt the integrity or performance of the Service.
- Engage in fraudulent, deceptive, or misleading conduct.
- Collect personal information about others without their consent.
We may investigate and take appropriate action — including content removal, account suspension, or legal referral — against any violation.
User-Submitted Content
You retain ownership of any Content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as format conversion), and display the User Content solely for the purpose of providing and improving the Service.
You represent and warrant that you own or have the necessary rights to all User Content you submit and that the Content does not infringe any third-party rights or violate any law.
We may remove User Content that violates these Terms or applicable law without prior notice.
Intellectual Property
The Service, including its design, code, text, graphics, logos, and trademarks, is owned by WebCloudNest or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly stated in these Terms.
All feedback, suggestions, or ideas you submit about the Service may be used by us without obligation or compensation.
Subscriptions, Fees & Refunds
Certain features of the Service require a paid Subscription. Pricing is shown on the Service at the time of purchase and may be updated with notice.
Billing terms:
- Subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal.
- Fees are non-refundable except where required by law or expressly stated in our refund policy.
- You authorize us (and our payment processor) to charge your selected payment method for all applicable fees.
- Taxes may apply based on your billing location and will be added where required.
You may cancel your Subscription at any time from your Account settings. Cancellation takes effect at the end of the current billing period.
Third-Party Services & Links
The Service may include integrations with, or links to, third-party services not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is governed by their own terms and privacy policies.
Suspension & Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including (without limitation) if we believe you have violated these Terms.
You may stop using the Service and delete your Account at any time. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including IP, disclaimers, limitation of liability, and governing law) will survive.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Service at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBCLOUDNEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Indemnification
You agree to indemnify, defend, and hold harmless WebCloudNest, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right.
Changes to the Service or Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms. Material changes will be notified through the Service or by email. Your continued use after such changes constitutes acceptance.
Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Surat, Gujarat, India, unless mandatory law of your residence provides otherwise.
